Welcome to Koinder Media. By using our services, making payment, or submitting your music, you agree to the following terms and conditions. Please read them carefully before ordering any release service.

1. Service Overview

Koinder Media provides music distribution and release support services, including:

• Uploading music to digital platforms such as Spotify, Apple Music, TikTok, YouTube, and other supported stores
• Metadata setup and release structuring
• Monetization assistance, including Content ID support where available and approved
• Artist guidance for release preparation, file checks, and submission workflow

2. Ownership of Music

You, as the client or artist, retain ownership of your music at all times, subject to any revenue-sharing arrangement selected under your chosen plan.

Koinder Media does not claim ownership of your sound recordings, compositions, or intellectual property solely by providing distribution, release support, or monetization services.

3. Client Responsibility

By submitting your music, you confirm that:

• You own or control all rights to the content submitted
• Your music does not infringe on any copyright, trademark, or third-party rights
• You have obtained permission from all collaborators, including producers, writers, and featured artists
• All metadata, artist names, release details, and artwork submitted are accurate and lawful

Koinder Media is not responsible for legal disputes, claims, takedowns, revenue losses, or account penalties arising from false ownership claims, unauthorized submissions, or misleading information provided by the client.

4. Distribution Plans

Your selected plan determines how your release is handled, how monetization is structured, and whether revenue sharing applies.

5. Revenue Sharing & Payouts

For Partner Plan releases, Koinder Media may earn a percentage of royalties generated from digital platforms.

• Revenue split will be communicated before release setup begins
• Koinder Media may collect earnings from distribution platforms on qualifying releases
• Payouts to artists may be processed monthly or bi-monthly
• A minimum payout threshold may apply before payouts are made
• Bank transfer charges, payout processing charges, or similar transaction fees may be deducted where applicable

Koinder Media is not responsible for delays caused by third-party distributors, payment processors, or digital platforms such as Spotify, Apple Music, TikTok, YouTube, or related monetization systems.

6. Distribution Control & Migration

Koinder Media may use third-party distribution services, aggregators, or monetization partners to deliver your music to digital platforms.

• Koinder Media reserves the right to change distribution partners when necessary for service continuity, monetization, or catalog management
• Music may be migrated between platforms or distribution partners for better monetization, account management, or long-term release handling
• Koinder Media will make reasonable efforts to preserve metadata, release identity, and stream continuity during migration where possible

7. Payments

• All payments must be made in full before service begins
• Payments are strictly non-refundable once processing, review, setup, or release work has started
• Failure to provide complete files, artwork, metadata, contributor details, or required release information does not qualify for a refund
• Prices may change for future orders, but confirmed paid orders will be handled under the agreed price at the time of payment
• Koinder Media reserves the right to refuse service if payment is disputed, reversed, flagged, or charged back

8. Delivery & Processing

• After payment, clients must submit complete and accurate information required for release setup
• Koinder Media will review files before upload or final release handling
• Delays may occur if files, artwork, contributor details, release dates, or metadata are incomplete or incorrect
• Koinder Media may request corrections before proceeding with upload or submission

Koinder Media will make reasonable efforts to process submissions promptly, but release timelines may depend on client responsiveness, third-party distributor review, and platform approval times.

9. Monetization & Earnings

Koinder Media does not guarantee:

• Specific earnings
• Viral success
• Playlist placements
• Guaranteed approval for Content ID or monetization programs

Earnings depend on factors outside Koinder Media’s control, including audience engagement, streaming activity, platform policies, copyright checks, territory restrictions, and algorithmic performance.

10. Content ID & Platform Policies

• Content ID and monetization features are subject to platform approval and eligibility rules
• Some content may be rejected, delayed, flagged, demonetized, or removed by platforms based on their own guidelines
• Koinder Media is not responsible for third-party platform decisions, enforcement actions, or account restrictions

11. Limitation of Liability

Koinder Media is not liable for:

• Loss of revenue, profits, or business opportunities
• Platform rejection, takedown, demonetization, or removal of content
• Delays caused by third-party services, distributors, stores, payment systems, or review teams
• Indirect, incidental, or consequential damages related to release performance or monetization outcomes

12. Termination

Koinder Media reserves the right to refuse, suspend, or terminate services if:

• False or misleading information is provided
• Submitted content violates legal requirements or platform rules
• The client engages in fraudulent, abusive, threatening, or harmful behavior
• A release creates legal, copyright, reputational, or compliance risk for Koinder Media

13. Agreement Binding

By making payment, submitting content, or using Koinder Media services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions. This agreement is binding without requiring a physical or handwritten signature.
